TCBS continuously increases charter capital

Ky Thuong Securities Joint Stock Company (TCBS, stock code TCX) has just announced the issuance of shares to pay dividends for 2025.

According to the plan, TCBS is expected to issue nearly 555 million shares at a ratio of 5:1, corresponding to shareholders owning 5 shares who will receive 1 new share.

The issuance capital is taken from undistributed after-tax profit in the audited financial statements. The last registration date is September 18, corresponding to the ex-right trading date of September 17.

After the issuance, the number of outstanding shares of TCBS is expected to increase from nearly 2.8 billion to about 3.3 billion shares. As a result, charter capital increased by about 5,549 billion VND, from 27,744 billion VND to 33,293 billion VND.

According to the semi-annual corporate governance report for 2026, Vietnam Technological and Commercial Joint Stock Bank (Techcombank) is the parent company of TCBS, owning more than 79.81% of capital. With this ratio, Techcombank is expected to receive about 443 million shares in the dividend payment.

This is also TCBS's third capital increase in 2026. Previously, in early June, the company successfully distributed more than 462 million shares to 19,125 shareholders.

In July, TCBS continued to issue 556,522 shares to 28 employees. After these issuances, the number of outstanding shares of the company increased to about 2.78 billion units, equivalent to charter capital of 27,744 billion VND.

With the upcoming dividend payment, TCBS's charter capital is expected to increase to VND 33,293 billion. If completed, TCBS will surpass SSI - currently having a charter capital of more than VND 30,000 billion - to become the securities company with the largest charter capital in the market.

Margin balance exceeds 51,500 billion VND

Along with the capital increase process, TCBS recorded a sharp increase in asset scale and margin lending activities.

In Q2/2026, total revenue of TCBS reached VND 3,745 billion, up 41% compared to the same period last year, pre-tax profit reached VND 2,097 billion, up 21% and set a quarterly record. After-tax profit reached VND 1,692 billion, up 19%. Accumulated in the first 6 months of the year, pre-tax profit reached VND 3,555 billion.

The main driving force for growth came from margin lending and advance payment from sales. This segment brought in 1,380 billion VND of net income in the second quarter, an increase of 66% over the same period and contributing about 42% of the company's total net income.

By the end of June, outstanding margin loans and advance payments from sales reached more than 51.5 trillion VND, an increase of 52% compared to the same period last year.

Net income from the investment banking segment reached 837 billion VND, an increase of 33% compared to the same period. According to TCBS, in the second quarter, the total value of bond issuance reached nearly 61,000 billion VND, an increase of 138% compared to the same period in 2025. In which, the value of corporate bond issuance outside the banking group reached about 59,000 billion VND, equivalent to 48% market share.

The capital business and bond distribution segment recorded revenue of 964 billion VND, an increase of 7% over the same period. The company distributed nearly 22,500 billion VND of corporate bonds in the second quarter, an increase of 23%.

In the opposite direction, net income from brokerage activities, commissions and securities depository reached 69 billion VND, down 21% compared to the same period. According to TCBS, the main reason is that the distribution of fund certificates is affected by high interest rates.

As of June 30, TCBS's total assets reached VND 100,592 billion, an increase of 25% compared to the end of 2025. Owner's equity at the end of June reached VND 45,782 billion, an increase of VND 1,683 billion compared to the beginning of the year. The ratio of total loans to owner's equity is 1.15 times higher.

By the end of June 2026, total outstanding loans reached more than 52.5 trillion VND, of which the proportion of international loan capital increased compared to the previous quarter.

Meanwhile, the ratio of outstanding loans to equity is about 1.13 times, equivalent to 113%, lower than the ceiling of 200% according to current regulations.
