Proposal for the responsibility of the Department of Finance for managing the issuance of corporate bonds

The draft Decree outlines the responsibility of the Departments of Finance of provinces and centrally run cities for receiving notices on the offering of corporate bonds.

The Ministry of Justice has just announced the Appraisal file of the draft Decree on the offering and trading of corporate bonds (CBSP) separately in the domestic market and the offering of CBSP to the international market.

Notably, Article 46 of the draft Decree stipulates that the Departments of Finance of provinces and centrally run cities are responsible for receiving notices of individual corporate bond offering of companies that are not public companies, securities companies, and securities investment fund management companies to monitor and summarize the situation of issuing individual corporate bonds within the locality, periodically report and at the request of the provincial People's Committee, update to the information system and database on individual corporate bonds within the locality; handle violations of individual corporate bond offering according to authority and regulations in this Decree.

The business registration agency under the Department of Finance of the provinces and centrally run cities is responsible for coordinating and providing information on the content of business registration and legal status of enterprises kept in the National Database on Business Registration when the competent state agency inspects, inspects and supervises according to the provisions of this Decree at its request.

According to the Submission accompanying the draft Decree, the Ministry of Finance - the drafting agency - said that from the effective date of Decree No. 153/2020/ND-CP (1.1.2021) to the end of 2024, the value of issuing individual corporate bonds in the same scale will be about 1.68 million billion VND.

In the first 10 months of 2025, the value of individual issued corporate bonds reached VND 441.7 trillion, 1.39 times higher than the same period in 2024. Of which, credit institutions account for 66.3% of issuance volume, real estate enterprises account for 26.1%, and enterprises in the remaining sector account for 7.6%. The average issuance term in the first 10 months of the year is 3.7 years; the average issuance interest rate is 7.23%/year (equivalent to the same period last year).
