Offering bonds when debt ratio exceeds the allowed level, a construction company is fined

A construction company was fined for offering bonds without meeting the conditions. Four other businesses were also fined for violating information disclosure.

The State Securities Inspectorate issues decisions to sanction administrative violations against enterprises for violating regulations in the field of securities and the stock market.

In which, Phu Quoc Civil Construction Co., Ltd. was fined 350 million VND for offering bonds when it did not meet the conditions according to legal regulations.

According to the content of the sanctioning decision, on March 30, 2026, the Corporate Bond Information Page of the Hanoi Stock Exchange (HNX) received the content of information disclosure before the PKC12601 bond offering of the enterprise. The bond lot is expected to be issued on March 31, 2026, with an expected value of 1,500 billion VND.

The audited financial statements for 2025 show that Phu Quoc Civil Construction Co., Ltd. has payables of 28,458.8 billion VND and equity of 4,235.8 billion VND. If including 1,500 billion VND of bonds expected to be issued, the ratio of payables to equity of the enterprise is 7.07 times.

Meanwhile, the Enterprise Law stipulates that payables, including the value of bonds expected to be issued, must not exceed 5 times the equity of the issuing organization according to the financial statements of the year immediately preceding the year of issuance that have been audited.

The remaining four businesses were fined 92.5 million VND each for violating regulations on information disclosure.

Thuan Minh Debt Trading Joint Stock Company was also fined for delaying the disclosure of a series of reports related to the financial situation, use of bond capital, principal and interest payments, and implementation of commitments to bondholders in the period 2021–2025.

The enterprise is still slow to disclose information about the early repurchase and change of terms and conditions of TMDCH2123001 bonds. Some documents are announced late by 10 working days or more, others are late by less than 10 working days.

Goldsun Printing and Packaging JSC was fined for violating the information disclosure deadline. The company is delayed in disclosure for 10 working days or more for the report on the implementation of commitments to bondholders in 2022, the change of conditions of GSPCB2225003 bonds and the financial situation report for 2025.

Some other documents such as the results of the GSPCB2225003 bond offering, the situation of principal and interest payments and the use of money from bond issuance in 2025 were also not disclosed on time.

Dat Xanh Mien Bac Services and Real Estate JSC was fined for not disclosing the financial situation report for 2024. The company also sent many reports on finance, principal and interest payments, use of bond capital and implementation of commitments to bondholders in the period 2022–2024 in violation of the deadline.
