Recently, the Board of Directors of Vietravel Tourism Joint Stock Company (VTR) passed a resolution to divest all capital at Vietravel Airlines. Currently, Vietravel is holding more than 18.46 million shares of the airline and is expected to complete the transaction before December 31, 2025.
In this restructuring roadmap, Vietravel Airlines will change to a new brand name, operate independently of the Vietravel Tourism Group ecosystem to ensure transparency, compliance with legal requirements and build its own positioning in the Vietnamese aviation market. This is considered the opening step for a new stage of development for both sides on an equal and flexible cooperation platform.
The company said that Vietravel's decision to divest capital is part of the comprehensive restructuring program of the ecosystem for the period 2025 - 2030, with the orientation of focusing on core areas including tourism, services and trade; optimizing financial resources to improve investment efficiency and return on equity; at the same time, increasing flexibility in the cooperation strategy with airlines and domestic and foreign partners instead of maintaining direct equity investment.
Mr. Nguyen Quoc Ky - Chairman of the Board of Directors of Vietravel Tourism Group - said: "After 30 years of formation and development, Vietravel is entering a period of strong transformation towards a multi-disciplinary tourism - service group. divestment at Vietravel Airlines is a strategic step in the process of restructuring the investment portfolio, helping us focus more on core capabilities and promoting the strength of the entire ecosystem of Vietravel Tourism Group".
Immediately after the shareholder changes, Vietravel Airlines affirmed that the airline is entering a new stage of development. The company said it will conduct a comprehensive restructuring, accompanying strategic investors to optimize the operating model and improve governance capacity.
Vietravel Airlines is stepping up plans to expand its fleet, open more international routes and reposition the brand. Increasing charter capital to VND2,600 billion helps the airline strengthen its financial foundation to invest in infrastructure and fleet, while maintaining the addition of aircraft and increasing the frequency of operations on key routes.
The airline is also actively negotiating with aircraft manufacturers and international airlines to achieve the goal of owning a fleet of 30-50 aircraft by 2030 and expanding its flight network to Southeast Asia, Northeast Asia and the Middle East.
Vietravel Airlines was approved by the Government to be established in April 2020 with a total investment of 700 billion VND, initially Vietravel owned 100% of the capital. By the end of 2024, the group of related enterprises of T&T Group will become major shareholders, holding about 75% of charter capital. In April 2025, the company held an extraordinary General Meeting of Shareholders and elected Mr. Do Vinh Quang - Vice Chairman of T&T - to the Board of Directors for the 2025 - 2030 term, then appointed him as Chairman of the Board of Directors.
At the end of October 2025, Bangkok Post quoted Tony Fernandes - CEO of Capital A Bhd, parent company of AirAsia - as saying that it was in the early stages of negotiating to buy shares at Vietravel Airlines. He assessed that the exchange process is progressing smoothly, with only a few final provisions before signing a Principal agreement. In the context of Vietravel's decision to divest, this development opens up significant room for AirAsia to participate in the shareholder structure of Vietravel Airlines in the new period.
