Novaland's major shareholder massively sells shares, leaders affirm not to flee

Five major shareholders of Novaland continued to register to sell more than 18.7 million NVL shares for the purpose of balancing investment portfolios and supporting debt restructuring.

NovaGroup, Novaland's largest shareholder, has just registered to sell 3,936,650 NVL shares for the purpose of balancing investment portfolios and supporting debt restructuring. The transaction is expected to be conducted by order matching or agreement from May 16, 2025 to June 13, 2025.

If successful, NovaGroup will reduce its ownership in Novaland from 338,790,127 shares, accounting for 17.373% to 334,853,477 shares, accounting for 17.171% of Novaland's capital.

Another major shareholder, Diamond Properties, also registered to sell 3,230,517 NVL shares for the same purpose. It is expected that after successful implementation, Diamond Properties will still hold nearly 165,430,470 NVL shares, equivalent to an ownership ratio of 8.483%.

This move by NovaGroup and Diamond Properties demonstrates the commitment to provide financial support to Novaland when necessary, to help Novaland pay debts on time and help Novaland maintain continuous operations.

In this sale registration, there are 3 shareholders belonging to the group of internal shareholders, Mr. Bui Cao Nhat Quan, Ms. Bui Cao Ngoc Quynh and Ms. Cao Thi Ngoc Suong, registered to sell a total of 11,586,476 shares, for personal reasons. Thus, after the transaction, these 3 shareholders will reduce their ownership ratio to 6.818% of capital.

In response to the move of a group of large shareholders continuously selling shares, Novaland's board of directors affirmed that "there is no escape", the above moves are mainly supporting the restructuring of the company's debts, in the context that Novaland is making efforts to complete the restructuring, completely resolve debts and exercise rights for related parties.

In the market, NVL shares are currently trading at VND 12,300/share. Regarding the debt restructuring roadmap, Novaland's Board of Directors said that most of the loans and bond debts will be processed from the end of 2026-2027.

Novaland's financial report for the first quarter of 2025 also recorded that during the period, the company transferred shares in companies owning key projects Aqua City and Thanh My Loi B.

Specifically, in March 2025, Novaland completed the sale of 19,9% of charter capital at Aqua City Company Limited - the investor of the 1,000-hectare Aqua City project in Dong Nai. After the transaction, Novaland's ownership ratio decreased from nearly 70% to 51%.

The transfer value is 973 billion VND. The difference between the total transfer value and the recorded value has been recorded by Novaland in the undistributed after-tax profit on the consolidated accounting balance sheet.

Regarding the transfer receiving side, according to the business registration documents of Aqua City in April, Thien Ha Investment Trading Service Joint Stock Company is a new shareholder, holding 19% of the capital. Notably, Thien Ha's head office has the same address as Novaland's head office at 65 Nguyen Du, Ben Nghe Ward, District 1, Ho Chi Minh City.

Along with the above project, in March 2025, Novaland also completed more than 7.635% of capital at No Va My Dinh Real Estate Co., Ltd. and reduced the holding rate at the related company group including: Dinh Phat Real Estate Joint Stock Company (from 67.13% to 59.5%), Real Estate Investment and Development Co., Ltd. 350 (from 67.14% to 59.5%), CQ89 Development and Development Co., Ltd. 59.26%), Thanh My Loi Joint Stock Company (from 51.48%to 47.23%). The total transfer value is more than VND 1,641 billion.

Previously, on December 25, 2024, Novaland completed a transfer of 32.84% of capital at No Va My Dinh Real Estate Company Limited with a total transfer value of nearly VND 7,060 billion. The buyers are Nha Xinh Real Estate Development Company Limited and Bach Duong Real Estate Investment and Development Company Limited.
