On September 17, the Government Office announced that the Government has just issued Decree No. 248/2025/ND-CP regulating the salary, remuneration, and bonus regime for representatives of direct owners, representatives of state capital, and controllers in state-owned enterprises.
The Decree clearly states that the representative of the owner directly, the controller, and the specialized capital representative are arranged according to the salary table of the enterprise developing and promulgating the basis for implementing social insurance, health insurance, unemployment insurance and other regimes according to the provisions of labor law and are entitled to salary and bonuses paid by the enterprise.
The direct owner's representative, the controller and the non-professional representative shall arrange salaries, receive salaries and bonuses paid by the owner's representative agency in conjunction with the position and work performed at the owner's representative agency and receive remuneration paid by the enterprise.
The salary of the direct owner's representative, the controller, the full-time capital representative and the remuneration of the direct owner's representative, the controller, the non-professional capital representative paid by the enterprise are included in the general salary fund of the enterprise.
Based on the general salary fund, bonus fund, regulations or salary and bonus policies of the enterprise, the Board of Members or Chairman of the company decides, the capital representative participates in giving opinions to the competent authority (Membership Council, Board of Directors or General Meeting of Shareholders) decides and pays the salary, remuneration, and specific bonuses to the direct owner's representative, the capital representative according to the position and position held at the enterprise.
The owner's representative agency gives opinions on the specific salary, remuneration, and bonus levels of the inspectors and notifies the enterprise to pay the inspectors.
The salary, remuneration, and bonus paid to the direct owner's representative, controller, and representative must not exceed the maximum salary, remuneration, and bonus prescribed in this Decree.
The maximum salary and remuneration are determined according to the title of Chairman, member of the Board of Directors, Chairman, member of the Board of Members, Chairman of the Company, Head of the Control Board, Inspector (hereinafter referred to as a board member, inspector), calculated monthly and linked to annual production and business targets.
This includes: equity or contributed capital of the owner; revenue; profit before corporate income tax or total revenue minus total expenses for non-profit-making enterprises.
The determination of the maximum salary, remuneration, and bonus level as a basis for implementing specific salary, remuneration, and bonus levels is based on the annual production and business targets of state-owned enterprises and credit institutions according to regulations and the actual positions held by the representative of the direct owner, controller, and capital representative at the enterprise.
Decree 248/2025/ND-CP stipulates the basic salary of council members and full-time inspectors as follows:
This Decree takes effect from September 15, 2025.
