Chairman Bui Thanh Nhon's son has sold 2.9 million Novaland shares

Novaland has just announced that Mr. Bui Cao Nhat Quan - son of Chairman of the Board of Directors Bui Thanh Nhon has successfully sold more than 2.9 million NVL shares.

The transaction was conducted through the order matching method in the session on May 19, 2025. After the transaction, the number of NVL shares held by Mr. Quan decreased to more than 75.3 million units, equivalent to an ownership ratio of 3.862%.

Temporarily calculated according to the closing price on the same day, the amount of money Mr. Quan earned is estimated at about 35 billion VND.

Previously, Mr. Quan could not sell more than 3.9 million NVL shares in the period from March 21 to April 18 due to unfavorable market developments.

In another development, Novaland has recently published documents notifying the stock trading of insiders and related insiders of the company.

Accordingly, NovaGroup Joint Stock Company - a major shareholder of Novaland has just registered to sell more than 3.9 million NVL shares for the purpose of balancing investment portfolios and supporting debt restructuring.

If the transaction is successful, NovaGroup will reduce its ownership of NVL shares from nearly 338.8 million shares to nearly 334.9 million shares, equivalent to an ownership ratio reduced from 17.373% to 17.171% of charter capital in Novaland.

Also with the purpose of balancing the investment portfolio and supporting debt restructuring, another major shareholder of Novaland, Diamond Properties Joint Stock Company, has just registered to sell more than 3.2 million NVL shares.

Before the transaction, Diamond Properties was holding nearly 168.7 million NVL shares, equivalent to an ownership ratio of 8.649% of Novaland. If the transaction is successful, the number of shares will decrease to more than 165.4 million shares, equivalent to an ownership ratio of 8.483%.

In the same direction, Mr. Bui Thanh Nhon's wife and children - Chairman of the Board of Directors of Novaland also registered to sell a total of nearly 11.6 million shares for personal reasons.

Regarding business situation, Novaland has just said that this group will submit to the General Meeting of Shareholders for opinions in the coming time on issuing shares to exchange debts according to the compensation request of shareholders, including two large shareholders NovaGroup and Diamond Properties.

According to Novaland, the issuance of shares to exchange debts for some shareholders has sold collateral to repay debts to Novaland in loans and bonds.

The temporary issuance of additional shares will reduce the interest of existing shareholders, however, Novaland's leaders said that they will work with major shareholders to commit to achieving the business plan and recovery target set out to ensure the rights of shareholders and all related parties.

Regarding the situation of bond repayment, information from the Hanoi Stock Exchange (HNX), according to the plan, on May 18, 2025, Novaland must pay more than VND 651.9 billion in principal for the bond lot coded NVLH21230 14.

However, the enterprise has only been able to pay nearly 6.8 billion VND, the remaining more than 645.1 billion VND has not been paid.

According to the explanation, Novaland said that due to the fact that the money has not been arranged, the bonds are slow to pay. At the same time, businesses are continuing to negotiate with investors about the late payment of outstanding loans of the above bond lot.

Previously, on April 22, 2025, Novaland had only paid more than VND 622.1 million out of nearly VND 114.7 billion in principal for the bond lot coded NVLH2123007, with the remaining VND nearly VND 114.1 billion unpaid.

The bond lot coded NVLH2123007 was issued by Novaland from July 23, 2021, however, it was not until October 19, 2021 that the issuance ended.

In 2025, Novaland plans to have net revenue according to option 1 of VND13,411 billion, option 2 of VND10,453 billion. The 2025 after-tax profit plan according to option 1 is a loss of 12 billion VND, option 2 is a loss of 688 billion VND.

The company said that the most affecting factor to Novaland's business results is still the progress of removing legal obstacles for projects.
